Draft — pending legal review. This is a plain-language working draft, not final terms and not legal advice. It may change before StudioClarity launches; if it does, we'll update the date at the top and tell studio owners about changes that matter.

Terms of Service

Last updated October 17, 2026 · Version 2026-10-17-draft

These terms are the agreement between Flad Logic (“StudioClarity”, “we”, “us”) and the studio that signs up for StudioClarity (“the studio”, “you”). The person who creates the studio's account accepts them on the studio's behalf and confirms they're allowed to. Our Data Processing Addendum is part of these terms, and our Privacy Policy explains how we handle personal information.

1. What StudioClarity is

StudioClarity is software for running a dance, martial arts or similar studio: schedules, classes, families, billing, attendance, check-in and class files, with a family portal and student portal under your studio's own web address.

2. Your account

  • Give us accurate information and keep your owner email address up to date. We send important notices there.
  • You're responsible for everyone you give access to (front desk, instructors, families and students) and for what they do in your studio's account.
  • Keep passwords private. Tell us right away at [email protected] if you think someone got into your account.
  • You must be at least 18 and able to enter a contract to sign up a studio.

3. Free trial, plans and payment

  • New studios get a free trial. During the trial some limits apply, such as how many people you can email.
  • After the trial, you pay the monthly price of the plan you choose. Prices are shown on our website. Plans are month to month, with no long-term contract.
  • If we change prices, we'll tell you at least 30 days before the change affects your bill.
  • Fees are not refundable for partial months, except where the law requires it.
  • If a payment fails and isn't fixed after we let you know, we may limit your account to read-only until it is. Your families can still pay their open invoices.

4. Payments from your families

When online payments are on, tuition is processed by Stripe into your studio's own Stripe account. You agree to Stripe's terms for that account. You are the seller to your families: you set your prices, and you handle refunds, disputes and chargebacks with them. StudioClarity may charge a small platform fee on online payments, as shown in your settings before you turn payments on.

5. Your studio's policies

You can write your own tuition, refund and cancellation policies in StudioClarity, and families agree to them in the family portal. Those policies are between you and your families. We record who agreed to which version and when, but we don't review or enforce them.

6. Your data

  • Everything you and your families put into StudioClarity belongs to you. We use it only to run the service for you, as described in the Data Processing Addendum.
  • You're responsible for having the right to add the information you add, including information about children, and for telling your families you use StudioClarity.
  • You can export your data at any time while your account is open, and for 30 days after it closes.

7. Acceptable use

Don't use StudioClarity to:

  • break the law, or send spam or messages people didn't ask for;
  • upload anything you don't have the rights to, such as music you're not licensed to share;
  • try to get into another studio's data, test our security without our written permission, or overload the service;
  • resell or copy the service.

If you do, we may suspend the account. Where we can, we'll warn you first and give you a chance to fix it.

8. Our responsibilities

  • We work to keep StudioClarity available, secure and backed up, and we'll tell you about planned downtime that matters.
  • We keep your data confidential and protect it as described in the Data Processing Addendum.
  • We may improve or change features. If we remove something important you rely on, we'll give you reasonable notice.

9. Things we can't promise

StudioClarity is provided “as is”. We don't promise it will never have errors or downtime, and it isn't accounting, tax or legal advice. Check your own numbers before you rely on them for taxes or disputes.

10. Limits on liability

To the extent the law allows, neither of us is liable to the other for indirect or lost-profit damages, and our total liability for any claim is limited to what you paid us in the 12 months before the claim. These limits don't apply to amounts you owe us, or to either side's fraud or intentional misconduct.

11. Cancelling and closing your account

  • You can cancel anytime from your settings or by emailing us. Your plan runs to the end of the period you've paid for.
  • We can end these terms with 30 days' notice, or right away if you seriously break them.
  • After closing, you have 30 days to export your data. Then we delete it, except records we must keep by law. Backups roll off within 90 days.

12. Changes to these terms

If we change these terms in a way that matters, we'll tell the studio owner by email or in the app at least 30 days before the change takes effect. If you keep using StudioClarity after that, the new terms apply.

13. The legal bits

These terms are governed by the laws of [state to be confirmed in legal review], United States. If there's a disagreement, we'll first try to work it out by talking. Questions about these terms: [email protected].
